This agreement is dated and in effect as of date of submission of this form, between you / your company hereafter referred to as "Client" and Map Ranking LLC hereafter referred to as "Consultant".
This agreement is with respect to the Client’s marketing services, hereinafter referred to as the "Work" or “Project.”
Whereas, Consultant is a professional marketing agency of good standing; Whereas, Client wishes Consultant to create certain Work described more fully herein; and Whereas, Consultant wishes to create such Work; Now, therefore, in consideration of the foregoing premises and the mutual covenants hereinafter set forth and other valuable considerations, the parties hereto agree to all terms and conditions on this page.
Google Ads & LSAs Marketing Program may include (but it's not limited) to the following:
Professional campaign setup — ($500 billed one time) – FREE for a limited time
Ongoing optimization to maximize ROI
Keyword research, ad copy, and targeting tailored to your business
Landing page creation
Conversion rate optimization
Weekly monitoring + performance reporting
Up to $1500 in free ad credits* (for new Google Ads campaigns)
Map Check-Ins, Google Maps SEO, Web Design, Website Maintenance, Social Media Management, Social Media Marketing, and CRM Services may be offered as a separate plan or add-on.
Client agrees to start the on-boarding process the next business day and no later than 7 days after submitting the payment. If you schedule your Onboarding Call immediately - we can build out your campaign and be up and running within days.
Map Ranking agrees to provide Client with:
Dedicated account manager
Unlimited emails / text support as needed, with a reasonable response time (we do our best to respond to new inquiries within the next couple of hours but sometimes can take up to 24h)
Bi-weekly 30 minute check-in call
30 Days Zoom Call for account progress report
This is a month-to-month agreement and may be canceled by the Client at any time.
If Map Ranking is hosting the Client’s website or managing assets that must be transferred back to the Client, a 30-day written notice is required prior to cancellation. This notice period allows us to complete a professional off-boarding process, transfer all applicable assets into the Client’s name, and ensure the Client has everything necessary for continued success.
Map Ranking engages with clients only when there is a clear, mutual benefit. To ensure this, we offer a 30-day paid trial.
This trial period allows you to experience our services for 4 weeks and determine if we are the right partner to help you achieve better results.
During this time, our goal is to demonstrate the quality of our work, the integrity of our team, and measurable improvements in your Google Ads campaign.
To qualify for the 30-day money-back guarantee, the following conditions must be met:
Full Participation – You must provide all requested access, information, and approvals in a timely manner to allow us to perform the agreed-upon work.
Scope of Work Completion – Map Ranking must be allowed to complete the full scope of services outlined for the trial period.
Good-Faith Engagement – You must actively review, respond to, and implement recommendations and deliverables provided during the trial.
Performance Review – At the end of the 30 days, you must participate in a results review Zoom call or meeting with our team to assess the work performed and outcomes achieved.
Request Deadline – Any refund request must be submitted in writing within five (5) business days of the trial’s conclusion.
If all requirements are met and you determine our services did not deliver value for your business, Map Ranking will issue a full refund of the trial fee.
This Campaign is a two-way partnership. These Client Responsibilities help ensure that both the Client and the Consultant are successful.
Client agrees to do the following:
Maintain the ability to receive both calls and recorded voicemails from potential customers.
Keep an 85% or greater pickup rate for inbound calls.
Respond to all job/appointment requests that come in via email, messenger/SMS, contact form, and voicemail within one business day.
Attend all scheduled Update Calls with the Campaign Manager or reschedule at least 24-hours prior. Remain active in responding to the Agency's requests for necessary resources (such as website access, Google properties access, necessary business pictures, existing client lists, etc) and respond to related emails/texts within two business days.
Pay the Agency on time and rectify failed payments within two business days.
To access our services, clients must create an account with accurate and updated information. You are responsible for maintaining the confidentiality of your login credentials and any activities that occur under your account.
Unless specified otherwise, Client authorizes Consultant permission to access and use platforms on their behalf.
Having rights to the accounts, Consultant may manage accounts, reset passwords, view account’s usage and profile data, including how and when account is used, and read or store content in account, including electronic communications, contact lists and other information.
Consultant will exercise best practices in regards to account access and security but will not be liable for Client’s account due to hacking or if the account is compromised in any way.
Your use of Map Ranking services is subject to a monthly recurring fee based on the marketing program purchased by Client.
Billing is conducted on a monthly basis, with details specified upon subscription. Late payments may incur additional charges or service suspension.
Delays due to lack of timely response from client (you), lack of account access and proper permissions, restricted or banned accounts, extended review/change/approval processes, lack of viable credit card payment (for our billing or for ad billing), will not cause delay or pause in Consultant billing or fees. Monthly fees will continue until Client explicitly Pauses (fee) or Cancels the services.
If you do NOT complete your Intake Form, schedule a kick-off call, or provide the proper account access your billing will continue to run on a monthly basis regardless of a successfully completed onboarding process.
It is YOUR responsibility to provide timely information and account access to expedite setup and launch.
Consider it your incentive to respond in a timely manner, provide account access as soon as possible, and not delay launching due to numerous reviews / changes / approval rounds.
If Client hired Map Ranking to run Paid Ads, the monthly fee does not include monthly ad spend. Monthly Ad Spend is to be paid by Client directly to Google, Facebook, Youtube, etc. (This only applies if you hired Map Ranking to run Paid Ads on your behalf)
Client is responsible for all Ad costs. (This only applies if you hired Map Ranking to run Paid Ads on your behalf)
If the contract is not canceled or renewed prior to the next billing date then this contract will automatically renew each month until a written cancellation or pause notice has been received by Client or a new agreement between both parties is signed. In the event of non-payment, Consultant has the option to cancel account if overdue by more than 5 days and Client will be liable for unpaid balance.
If the client adds any additional services to their plan at any time, these terms and conditions will apply to those services as well.
Unless fees are expressly stated as covered under this agreement, Client is responsible for all third-party fees (In case Client is using a third party software by his own choice or by recommendation from Map Ranking)
This is a month-to-month agreement and may be canceled by the Client at any time.
After the initial 30 days period, Client continues with a month to month agreement.
If Map Ranking is hosting the Client’s website or managing assets that must be transferred back to the Client, a 30-day written notice is required prior to cancellation. This notice period allows us to complete a professional off-boarding process, transfer all applicable assets into the Client’s name, and ensure the Client has everything necessary for continued success.
Once cancellation has been submitted, no new work, editing of current work, or additional work will be completed.
In case that a 30 days notice has been provided, Map Ranking will work also on the transfer of any accounts, or credentials.
Refunds will not be issued if Client decides to stop using the Service before the end of the current billing period.

All work products, deliverables, strategies, reports, and materials created by Map Ranking in the course of providing services (“Work Product”) shall remain the property of Map Ranking until all outstanding fees are paid in full. Upon full payment, the Client will receive ownership rights to any completed and approved Work Product specifically created for the Client, excluding:
Pre-existing Materials – Any tools, templates, processes, software, code, or intellectual property developed or owned by Map Ranking prior to this agreement or independently of this project.
Proprietary Methods & Know-How – Any systems, workflows, methodologies, or trade secrets used by Map Ranking to perform the services. These remain the exclusive property of Map Ranking and are not transferred to the Client.
Client grants Map Ranking a limited, non-exclusive right to display the Work Product for marketing, portfolio, and case study purposes unless otherwise agreed in writing.
Map Ranking is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount you have paid for services within the last month.
Any requests made after the signing of this agreement that are not explicitly included in the ‘Project Scope’ section will be considered a Change Request. All such requests must be in writing. Additional services which are expressly referenced as Change Requests in the Project Scope will also be considered Change Requests.
Change Requests will require additional production time and additional fees.
It is the client’s responsibility to ensure that all requests made during this project are within the Project Scope stated above before being sent to Consultant.
All requests sent to Consultant that are outside of the Project Scope will be assumed to be approved by Client and that Consultant is authorized to proceed with requested changes unless there is a request for quote at the time of submitting the change request.
For requested projects that are outside of the Project Scope and for which a quote has been requested, such project will be placed on hold until a quote has been provided to the Client and the Client has approved or rejected the changes and estimated additional fees in writing. This does not include additional services for which fees are expressly referenced in the Project Scope.
Requests that are outside of the Project Scope will be billed at the standard hourly rate at the time of request and invoiced for actual time spent to complete the request.
Client agrees to pay Consultant’s standard rate of $45 per hour for additional work outside of the original scope of this document.
Consultant reserves the right to assign other designers or subcontractors to the Work to ensure quality and on-time completion.
Consultant retains the right to use the project and images of the project as deemed fit for promotional and marketing purposes
Client shall at all times conduct themselves in a professional manner. Unprofessional conduct, as determined by the Consultant, by the client will not be tolerated and will result in immediate termination at the sole discretion of the Consultant, without right to a refund.
The Client and Consultant are independent parties and nothing in this Agreement shall constitute either party as the employer, principal or partner of or joint venture with the other party.
Neither the Client nor Consultant has any authority to assume or create any obligation or liability, either express or implied, on behalf of the other.
Client and Consultant acknowledge that Consultant is permitted to work for any other clients at any time without Client’s consent and / or permission.
Client can provide guideline dates (if applicable) to Consultant but will not control or otherwise dictate when any work must be performed.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.
No Chargebacks – The Client agrees not to initiate any credit card chargebacks, payment disputes, or reversals for any fees paid under this Agreement without first following the Dispute Resolution process outlined herein. Initiating a chargeback without following this process will be considered a breach of contract.
Binding Arbitration – Any controversy, dispute, or claim arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration, administered by the American Arbitration Association (“AAA”) and conducted by a neutral arbitrator in Temecula, California. The arbitration shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
Waiver of Jury Trial – The parties expressly waive their right to trial by jury in any proceeding arising from or related to this Agreement.
Notice of Subpoena – The Client agrees to promptly notify the Consultant of any subpoena or legal demand the Client receives in connection with any matter involving the Consultant.
By signing this Agreement, both parties acknowledge and agree that they are knowingly, voluntarily, and intentionally waiving their rights to a jury trial and agree to resolve disputes exclusively through arbitration as stated herein.
This Agreement supersedes all prior or contemporaneous negotiations, commitments, agreements (written or oral) and writings between the
Consultant and Client with respect to the subject matter hereof.
All such other negotiations, commitments, agreements and writings will have no further force or effect, and the parties to any such other negotiation, commitment, agreement or writing will have no further rights or obligations thereunder.
The Consultant and the Client agree that the Project Scope stated above is the full and complete scope of work and that nothing else is owing to the Client under this agreement.
We may update these Terms of Service periodically. Continued use of our services after any update signifies acceptance of the new terms. Clients are encouraged to review these terms regularly.
