This agreement is dated and in effect as of date of submission of this form, between you / your company hereafter referred to as "Client" and Map Ranking LLC hereafter referred to as "Consultant".

This agreement is with respect to the Client’s marketing services, hereinafter referred to as the "Work" or “Project.”

Whereas, Consultant is a professional marketing agency of good standing; Whereas, Client wishes Consultant to create certain Work described more fully herein; and Whereas, Consultant wishes to create such Work; Now, therefore, in consideration of the foregoing premises and the mutual covenants hereinafter set forth and other valuable considerations, the parties hereto agree to all terms and conditions on this page.

Scope of Work

This contract and the agreed-upon fee are based on the following items. Any modifications or additions after signing will require a Change Request, detailed in the ‘Change Requests’ section.

1. Landmark Smart Design Package

The SMART Website package includes:

Foundational SEO: Basic on-site optimizations for improved search engine rankings.

Hosting & Security:

Cloud hosting

SSL Certificate

Regular backups

Security monitoring

Performance Optimization: Speed and performance improvements for an optimal user experience.

· Custom Website Design: A seven-page website tailored to the Client’s brand and business needs.

· CRM Integration: Setup of a CRM (HighLevel) with features including:

  • Lead Forms

  • Online Scheduling with Calendars

  • Live Chat Widget

  • Conversational AI & Voice AI for lead engagement

· Content Updates: Up to 1 hour per month for content modifications.

· Foundational SEO: Basic on-site optimizations for improved search engine rankings.

· Performance Optimization: Speed and performance improvements for an optimal user experience.

· Hosting & Security:

  • Lead Forms

  • Online Scheduling with Calendars

  • Live Chat Widget

  • Conversational AI & Voice AI for lead engagement

2. Onboarding & Setup

Onboarding typically takes 2-4 weeks, depending on Client responsiveness. This includes:

  • Initial strategy call to discuss goals, branding, and requirements.

  • Collection of necessary assets (logos, images, brand guidelines, content, etc.).

  • Setup and integration of CRM features.

  • Website design and development.

  • Review and approval process before website launch.

3. Support & Maintenance

  • Monthly support: Includes minor content updates (up to 1 hour per month).

  • Technical maintenance: Security updates, backups, and performance optimization.

  • Dedicated Account Manager for ongoing support.

Note: Additional design, content, or functionality changes beyond the included support time will be considered a Change Request.

Introduction

Welcome to Map Ranking! By using our software and services, which include access to a tailored version of GoHighLevel software for small businesses, you agree to abide by these Terms of Service.

Service Provided

Map Ranking provides SaaS solutions customized from GoHighLevel to support small business needs in marketing, customer relationship management, and reputation management. Our services include access to software, support, and customization as applicable to your package.

Client Responsabilities

For a successful project, the Client agrees to:

  • Provide required content, images, and branding materials promptly.

  • Grant necessary account access (domain registrar, hosting, Google accounts, etc.).

  • Respond to approval requests within a reasonable timeframe.

  • Make timely payments per the agreed terms.

Fees and Billing

  • The Landmark Website Design service is billed monthly.

  • The first payment covers setup costs and is non-refundable.

  • Delays in response or failure to provide required materials do not pause billing

  • Monthly fees do not include third-party costs, such as domain registrations or premium plugins.

  • Late payments beyond 14 days may result in service suspension or termination.

  • Cancellation requires a 30-day written notice before the next billing cycle.

Add-on Services

If the client adds on any additional services to there plan at any time, these terms and conditions will apply to those services as well.

ALL ACCOUNTS ARE RESPONSIBLE FOR THIRD-PARTY FEES, PROPER ACCOUNT REGISTRATION, AND REGULATION COMPLIANCE FOR BUT NOT LIMITED TO PHONE, SMS, EMAIL

Third Party Fees

Unless fees are expressly stated as covered under this agreement, Client is responsible for all third-party fees

Data and Privacy

Map Ranking values your privacy. We follow industry-standard data protection protocols and work in conjunction with GoHighLevel’s privacy standards. For details on how data is handled, please review our Privacy Policy.

Intellectual Property

All intellectual property rights for the software belong to GoHighLevel, with customization rights managed by Map Ranking. You are granted a limited, non-exclusive, non-transferable license to use the software in alignment with these terms.

Limitation of Liability

Map Ranking is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount you have paid for services within the last month.

Changes Requests

Any modifications beyond the scope of the original agreement will be considered a Change Request and may incur additional charges at $45 per hour. Requests must be submitted in writing, and Consultant will provide an estimate before proceeding.

Content Ownership

  • Consultant retains ownership of all website files, integrations, and assets until the completion of the contracted term.

  • Upon cancellation, Consultant reserves the right to disable or remove any proprietary elements, including CRM integrations, AI features, and hosting services.

  • If the Client wishes to transfer the website, additional transfer fees may apply.

Assignment of Work

Consultant reserves the right to assign other designers or subcontractors to the Work to ensure quality and on-time completion.

Promotional Use

Consultant retains the right to use the project and images of the project as deemed fit for promotional and marketing purposes

Professional Conduct

Client shall at all times conduct themselves in a professional manner. Unprofessional conduct, as determined by the Consultant, by the client will not be tolerated and will result in immediate termination at the sole discretion of the Consultant.

Relationship

The Client and Consultant are independent parties and nothing in this Agreement shall constitute either party as the employer, principal or partner of or joint venture with the other party.

Neither the Client nor Consultant has any authority to assume or create any obligation or liability, either express or implied, on behalf of the other.

Client and Consultant acknowledge that Consultant is permitted to work for any other clients at any time without Client’s consent and / or permission.

Client can provide guideline dates (if applicable) to Consultant but will not control or otherwise dictate when any work must be performed.

Dispute Resolution

The construction and interpretation of this Agreement shall at all times and in all respects be governed by the laws of the State of California.

Client agrees not to chargeback any fees prior to utilizing the Dispute Resolution guidelines provided and agreed to as stated here.

The Consultant and Client agree that any controversy or claim arising out of or relating to this Agreement in any way, shall be finally settled by binding arbitration, employing a neutral arbitrator, and administered by the American Arbitration Association (“AAA”).

The arbitration will be conducted in Temecula. The parties each waive their rights to trial by jury, in exchange for arbitration. The decision of the arbitrator shall be final, conclusive and binding on the parties to the arbitration. Judgment upon any award rendered in an arbitration proceeding may be entered in any court having jurisdiction of the matter.

The Client agrees to immediately notify the Consultant of any subpoena the Client may receive in connection with any action by any third party concerning the Consultant.

By entering into this contract and entering into the arbitration provisions of this Paragraph, THE CLIENT AND THE CONSULTANT EXPRESSLY ACKNOWLEDGE AND AGREE THAT THEY ARE KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVING THEIR RIGHTS TO A JURY TRIAL.

Previous Agreements

This Agreement supersedes all prior or contemporaneous negotiations, commitments, agreements (written or oral) and writings between the Consultant and Client with respect to the subject matter hereof.

All such other negotiations, commitments, agreements and writings will have no further force or effect, and the parties to any such other negotiation, commitment, agreement or writing will have no further rights or obligations thereunder.

The Consultant and the Client agree that the Project Scope stated above is the full and complete scope of work and that nothing else is owing to the Client under this agreement.

Changes to Terms

We may update these Terms of Service periodically. Continued use of our services after any update signifies acceptance of the new terms. Clients are encouraged to review these terms regularly.
